A roadblock has emerged in Eslite Corp.’s bid to purchase rights to property in Taipei’s Songshan Cultural and Creative Park. According to the Ministry of Finance, the Fubon Land Development subsidiary that holds the rights cannot sell them under the terms of its original build-operate-transfer agreement. 

A solution to the Songshan park controversy seemed possible yesterday after Eslite agreed to purchase rights to the park’s shopping complex and hotel from Fubon subsidiary Taipei New Horizon. Following the deal, Eslite would pay royalties directly to the city government.

First, the Taipei City government must get its money. Second, development of the cultural park must promote development of the cultural and creative industries in Taiwan.

The sale privately being discussed by Taipei New Horizon and Eslite is illegal.

Rights to the property in the Songshan park were obtained by Taipei New Horizon through a BOT agreement. They cannot be transferred, unless Fubon does a poor job of management or commits a major violation. Then, the city government could terminate its contract and issue another tender.

The procedure to be followed is their problem, not mine. They’ll be able to think of a way. The boss decides the direction to follow. Details are up to department chiefs and businesses.

One potential solution is for Eslite to buy a stake in Taipei New Horizon. Eslite and Fubon have already had problems cooperating. If a consensus isn’t reached, there could be more problems for the Songshan park in the future.

松菸文創案爭議,昨天在誠品願意出錢買下商場跟旅館,跳過富邦直接付給北市權利金後,看似獲得解決。

但是這個解套的辦法,卻存在著法律問題。

由於松菸園區是由富邦集團透過BOT案取得,依法原則上不得轉讓,除非富邦
經營不善或重大違失,市府必須先與富邦解約,再經公開招標遴選新團隊。

最可行就是誠品直接入股台北文創,偏偏誠品與富邦早不對盤,未來萬一互相爭奪主導,松菸園區經營恐怕會出現問題。
